Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") form a binding agreement between you and Remvx LLC ("Remvx,""we,""us," or"our"). By accessing our websites, requesting evaluation, creating an account, or using Remvx software and services (collectively, the"Services"), you agree to these Terms and our Privacy Policy.

If you accept on behalf of an organization, you represent that you have authority to bind that organization. Additional terms in an order form, evaluation agreement, or MSP partnership addendum may apply and control in case of conflict.

2. Description of services

Remvx provides endpoint management, remote support, monitoring, policy, and related IT operations software for business customers. Service scope, rollout phase, and feature availability are described during evaluation and onboarding - not all capabilities are available in self-serve or public form.

We may modify, improve, or discontinue features with reasonable notice to active customers where practicable. Public documentation may describe roadmap capabilities that are not yet generally available.

3. Accounts and credentials

You are responsible for maintaining the confidentiality of account credentials, API keys, tenant identifiers, and deployment secrets. You must promptly notify us of suspected unauthorized access at [email protected].

Account information must be accurate and kept current. You may not share credentials across unauthorized users or tenants.

4. Acceptable use and abuse

You may use Remvx only for lawful business purposes and only on endpoints and systems you own or are explicitly authorized to manage. Prohibited conduct includes, without limitation:

• Unauthorized access, credential theft, or circumvention of security controls
• Distribution of malware, ransomware, or other harmful code
• Fraudulent transactions, stolen payment methods, or chargeback abuse
• Harassment, illegal surveillance, or activity violating applicable law
• Excessive or abusive consumption of platform resources intended to degrade service for others
• Reverse engineering, decompiling, or attempting to extract source code except where expressly permitted by law
• Resale or sublicensing without written authorization

5. Service suspension

Remvx may suspend access to some or all Services immediately, with or without prior notice, when we reasonably believe suspension is necessary to:

• Protect platform integrity, other customers, or end-user systems
• Respond to suspected abuse, fraud, or security incidents
• Comply with law, court order, or regulatory requirement
• Address non-payment or material breach of these Terms
• Prevent imminent harm from misconfigured or compromised credentials

During suspension, agents may be disconnected from management channels and console access may be restricted. We will use reasonable efforts to notify the account owner when suspension is not legally prohibited from disclosure.

6. Account termination

Either party may terminate service according to the applicable agreement. Remvx may terminate or refuse service immediately for material breach, illegal use, or repeated policy violations.

Upon termination:

• Licensed access ends as of the termination effective date unless otherwise stated
• Deployed agents may be deactivated and disconnected from Remvx management infrastructure
• Data handling follows our Data Retention Policy and offboarding procedures
• Fees owed prior to termination remain due; refund treatment follows our Refund Policy

Termination for cause due to abuse, fraud, or unlawful activity may occur without refund. Sections that by nature should survive termination (including limitations of liability, indemnity, and governing law) will survive.

7. Fees and billing

Fees, billing cycles, and payment terms are specified in your order or evaluation agreement. Unless otherwise stated, fees are quoted in U.S. dollars. You authorize us to charge approved payment methods for recurring subscriptions.

Late or failed payments may result in suspension. Taxes are your responsibility except where we are required to collect them.

8. Intellectual property and license

Remvx retains all rights in the Services, software, documentation, trademarks, and related materials. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business operations during the authorized term.

You retain ownership of your data. You grant Remvx the rights necessary to host, process, and transmit your data solely to provide the Services.

9. Confidentiality

Each party may receive confidential information from the other. The receiving party will protect such information using reasonable care and use it only for purposes of the relationship. Confidentiality obligations do not apply to information that is public, independently developed, or rightfully received without restriction.

10. Disclaimers

THE SERVICES ARE PROVIDED"AS IS" AND"AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, Remvx LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant uninterrupted or error-free operation. You are responsible for backups, disaster recovery, and operational decisions made using platform data.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Remvx LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY
• Remvx LLC'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO Remvx LLC FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100)

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You will defend, indemnify, and hold harmless Remvx and its officers, directors, and employees from claims arising out of your use of the Services, your data, your violation of these Terms, or your violation of applicable law - except to the extent caused by Remvx's gross negligence or willful misconduct.

13. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Exclusive venue for disputes arising under these Terms lies in the state or federal courts located in Sheridan County, Wyoming, and each party consents to personal jurisdiction there.

14. Changes to terms

We may update these Terms by posting a revised version with a new effective date. Material changes to active paid customers will be communicated through appropriate account channels where practicable. Continued use after the effective date constitutes acceptance where permitted by law.
